1) Agreement to Terms

By accessing or using medimarketing.com, our dashboards, forms, email/SMS automations, or related services (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you’re using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


2) The Services & Third‑Party Providers

We provide marketing technology and consulting, including websites/forms, contact management, and messaging automations. We use third‑party processors, including Mailgun (email delivery) and HighLevel (CRM/automation), to operate the Services. Third‑party services are governed by their own terms; we are not responsible for their acts or omissions.


3) Eligibility & Accounts

You must be 18+ and able to form a binding contract. Keep your login credentials confidential and notify us of any unauthorized use.


4) Your Content; License

You retain ownership of content you submit (“Customer Content”). You grant us a non‑exclusive license to host, process, transmit, display, and perform the Services, including with our subprocessors.


5) Email & Messaging Acceptable Use (Compliance)

You agree to follow all applicable laws and provider rules, including CAN‑SPAM (U.S.), CASL (Canada), GDPR/UK GDPR (EU/UK), CCPA/CPRA (California), mailbox‑provider requirements (e.g., Gmail/Yahoo bulk‑sender rules), and Mailgun’s AUP. Key requirements include:

  • Consent & Lists
    Send only to recipients who have given clear, provable consent (express or narrowly defined implied consent where allowed). Purchased, rented, or scraped lists are prohibited. Maintain auditable consent logs (who, how, when, source).
  • Identify the Sender & Include Address
    Every commercial email must identify SEOG LLC (dba MediMarketing) as the sender and include our valid physical postal address.
  • Unsubscribe
    Every marketing message must include a clear, working unsubscribe link. We honor opt‑out requests promptly and maintain suppression lists (bounces, complaints, unsubscribes) to prevent future mail to those contacts. For Gmail bulk sends, we support one‑click unsubscribe (List‑Unsubscribe / List‑Unsubscribe‑Post) and process requests within two (2) days; CAN‑SPAM allows up to 10 business days, which we treat as an outer limit.
  • Accuracy & Honesty
    No deceptive headers or subject lines; marketing emails must be clearly identified as ads where required.
  • Sending Quality & Thresholds
    You agree to maintain healthy metrics and permit us to pause or stop campaigns that endanger deliverability (e.g., elevated bounces or spam complaints). Mailgun and mailbox providers may enforce thresholds; we may suspend sending for AUP breaches.
  • No Prohibited Content or Abuse
    Do not transmit illegal, harmful, or misleading content; do not attempt to cloak identity or bypass filters; do not send to recipients who have opted out or complained.


6) Healthcare Data (HIPAA)

Unless you have a signed Business Associate Agreement (BAA) with us, do not upload or transmit Protected Health Information (PHI) via the Services. HIPAA generally requires individual authorization for using PHI in “marketing,” with limited exceptions. If you are a Covered Entity or Business Associate, you are responsible for compliance and for ensuring a BAA is in place before any PHI is processed.


7) Data Privacy

Our Privacy Policy explains how we collect, use, share, and retain personal data, and describes your rights. By using the Services, you consent to those practices.


8) Fees (if applicable)

If you purchase paid services, you agree to pay listed fees plus applicable taxes. All payments are non‑refundable unless required by law.


9) Suspension & Termination

We may suspend or terminate access to protect recipients, comply with law or AUPs, or address high complaint/bounce rates, list abuse, or security risks.


10) Disclaimers

The Services are provided “as is.” We disclaim warranties of merchantability, fitness, and non‑infringement to the fullest extent permitted by law.


11) Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to us in the 12 months before the claim, and we will not be liable for indirect, incidental, consequential, or punitive damages.


12) Indemnification

You will indemnify and hold us harmless from claims arising out of (a) your content; (b) your unlawful or non‑compliant sending; or (c) your breach of these Terms.


13) Changes to These Terms

We may update these Terms; material changes will be posted with an updated “Effective Date.”


14) Governing Law & Dispute Resolution
